DumpMap Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY AND IN THEIR ENTIRETY BEFORE ACCESSING OR USING DUMPMAP. BY ACCESSING, BROWSING, SEARCHING, CREATING AN ACCOUNT, SUBMITTING A REVIEW OR CORRECTION, OR USING ANY FEATURE OF DUMPMAP IN ANY WAY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL USE OF DUMPMAP. THESE TERMS CONTAIN A MANDATORY ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 12 THAT SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS.
Section 1 — Definitions
1.1 "WasteMatch," "Company," or "We" refers to WasteMatch Technologies, Inc., a C Corporation incorporated under the laws of the State of Delaware and registered to conduct business in the State of Georgia as a foreign corporation pursuant to O.C.G.A. § 14-2-1501 et seq., with its principal place of business in Atlanta, Georgia, and its officers, directors, employees, agents, successors, and assigns.
1.2 "DumpMap" or "Service" refers to the informational directory and related features operated by WasteMatch and accessible via dumpmap.co and/or wastematch.com/dumpmap, and any associated subdomains, mobile-optimized web applications, software, location-based search tools, and related digital infrastructure operated, owned, or licensed by WasteMatch. DumpMap is a distinct product of WasteMatch, separate from the WasteMatch peer-to-peer managed marketplace platform that facilitates booked, dispatched property and home services (the "WasteMatch Marketplace"), which is governed by its own, separate terms of service. Except where context requires otherwise, references to "DumpMap" in these Terms refer solely to the directory service described herein.
1.3 "User" refers to any individual or entity that accesses, browses, searches, or otherwise uses DumpMap, whether or not that person creates an account.
1.4 "Facility" refers to any landfill, transfer station, recycling center, municipal drop-off site, or other waste-disposal facility, whether publicly or privately owned or operated, that is listed, described, or referenced on DumpMap.
1.5 "Third-Party Provider" refers to any junk removal company, roll-off or dumpster rental company, cleanout service, or other waste-related business referenced, listed, or advertised on DumpMap, other than a Facility.
1.6 "Facility Data" refers to information displayed on DumpMap regarding a Facility or Third-Party Provider, including hours of operation, pricing, minimum charges, accepted materials, payment types, contact information, address, and open/closed status.
1.7 "User Content" refers to any review, rating, tag, comment, correction, photograph, or submission of a new Facility or Third-Party Provider submitted by a User through DumpMap.
1.8 "Sponsored Placement" refers to any featured, promoted, or otherwise elevated placement of a Facility or Third-Party Provider within DumpMap's search results, listings, or referral prompts, purchased pursuant to Section 5.
1.9 "Sponsor" refers to any Facility or Third-Party Provider that has purchased a Sponsored Placement.
1.10 "Referral" refers to any instance in which a User contacts, requests a quote from, clicks through to, or is otherwise connected with a Third-Party Provider through DumpMap.
Section 2 — Nature of the DumpMap Service
2.1 Informational Directory Status. DumpMap is a free, informational directory service that helps Users locate Facilities and, where applicable, Third-Party Providers, and view Facility Data and User Content related to them. WasteMatch does not itself perform, supervise, direct, or control the operation of any Facility, or the provision of services by any Third-Party Provider. WasteMatch is not a waste hauling company, landfill operator, transfer station operator, recycling company, or junk removal company. DumpMap is solely an informational tool.
2.2 No Employment, Agency, or Partnership Relationship. No Facility or Third-Party Provider referenced on DumpMap is an employee, agent, joint venturer, franchisee, or partner of WasteMatch. Nothing in this Agreement shall be construed to create any employment, agency, or partnership relationship between WasteMatch and any Facility or Third-Party Provider, whether or not that Facility or Third-Party Provider has purchased a Sponsored Placement.
2.3 No Guarantee of Accuracy or Availability. WasteMatch does not guarantee the accuracy, completeness, or current status of any Facility Data, the willingness or ability of any Facility to accept a particular material, or the availability, response time, qualifications, licensing, or quality of any Third-Party Provider. WasteMatch reserves the right to modify, expand, suspend, or discontinue any feature of DumpMap at any time without prior notice.
2.4 Data Verification Efforts Are Not a Guarantee. WasteMatch takes commercially reasonable steps to periodically verify Facility Data, including automated monitoring and User-submitted corrections. These measures are efforts toward accuracy, not guarantees, and WasteMatch expressly disclaims liability for any inaccuracy in Facility Data as further described in Section 7.
Section 3 — Eligibility and Account Registration
3.1 Age Requirement. DumpMap is intended for use by individuals who are at least eighteen years of age. By accessing DumpMap or creating an account, you represent and warrant that you are at least eighteen years of age and have the legal capacity to enter into this Agreement. WasteMatch does not knowingly allow individuals under eighteen to create accounts or submit User Content. If WasteMatch discovers that a User is under eighteen, the account will be immediately terminated.
3.2 Accurate Information. You represent and warrant that all information provided during registration and throughout your use of DumpMap is accurate, current, complete, and not misleading. You agree to promptly update your account information if it changes.
3.3 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to immediately notify WasteMatch at connect@getwastematch.co of any unauthorized use of your account. WasteMatch is not liable for any loss resulting from unauthorized use of your account.
3.4 One Account Per User. Each individual or business entity may maintain only one active account on DumpMap. WasteMatch reserves the right to terminate duplicate or fraudulent accounts without notice.
3.5 Authority. If you are registering on behalf of a business entity, you represent and warrant that you have the legal authority to bind that entity to this Agreement.
Section 4 — User Access; No Charge to Users
4.1 Free Access. As of the Effective Date, Users may search, browse, and use DumpMap's core directory features — including facility search, filtering, directions, and review submission — at no cost. WasteMatch does not currently charge Users any fee, subscription, or membership charge to access or use DumpMap.
4.2 Reserved Right to Introduce Optional Features. WasteMatch reserves the right to introduce optional paid features for Users in the future. Any such offering will be clearly disclosed as optional, and no User will be required to pay any fee to search, browse, or view Facility listings on DumpMap unless WasteMatch provides thirty days advance written notice of a material change to this policy.
4.3 Account Standing. Continued access to DumpMap is contingent on maintaining an account in good standing and compliance with these Terms.
4.4 Access Revocation. WasteMatch reserves the right to immediately suspend or permanently revoke a User's access to DumpMap, without compensation, in the event of a material violation of this Agreement, fraudulent activity, abusive conduct, or any conduct WasteMatch determines to be harmful to DumpMap or its Users.
Section 5 — Sponsored Placements and Advertiser Terms
5.1 Sponsored Placement Program. WasteMatch may offer Facilities and Third-Party Providers the opportunity to purchase a Sponsored Placement in exchange for payment of a fee, calculated on a per-Referral, flat monthly, or other basis as WasteMatch may establish and disclose to the Sponsor at the time of purchase.
5.2 Disclosure of Sponsored Content. Any Sponsored Placement will be reasonably identified as sponsored, featured, or promoted within DumpMap's interface, consistent with applicable advertising-disclosure laws, including guidance issued by the Federal Trade Commission.
5.3 No Endorsement. Payment for a Sponsored Placement does not constitute an endorsement, certification, or guarantee by WasteMatch of the Sponsor's quality, pricing, licensing, insurance, or reliability.
5.4 Advertiser Payment Terms. Sponsors agree to pay all fees associated with a Sponsored Placement in accordance with the pricing and payment terms disclosed at the time of purchase. Fees for Sponsored Placements are non-refundable except as WasteMatch may otherwise determine in its sole discretion.
5.5 Right to Reject or Remove Sponsored Content. WasteMatch reserves the right to reject, suspend, or remove any Sponsored Placement at any time, with or without cause, including for violation of these Terms or WasteMatch's advertising standards, without refund except as WasteMatch may otherwise determine in its sole discretion.
5.6 No Guarantee of Referral Volume. WasteMatch does not guarantee any specific number of impressions, clicks, Referrals, or conversions resulting from a Sponsored Placement.
Section 6 — User Content, Reviews, and Submissions
6.1 Submission Standards. By submitting User Content, you represent that it is accurate and truthful to the best of your knowledge, reflects your own genuine experience or good-faith research, and does not violate any law, infringe any third party's rights, or contain defamatory, harassing, obscene, or otherwise objectionable material.
6.2 License Grant. By submitting User Content, you grant WasteMatch a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, sublicensable license to use, host, store, reproduce, modify, publish, distribute, and publicly display such User Content for DumpMap's operations, marketing, investor materials, and promotional activities. See also Section 15.2.
6.3 No Obligation to Publish. WasteMatch has no obligation to publish, retain, or display any User Content and may remove, edit, or decline to publish any User Content at its sole discretion, for any reason or no reason.
6.4 User Responsibility for Content. You are solely responsible for your own User Content and the consequences of posting it, including any claims of defamation brought by a Facility or Third-Party Provider you have reviewed. WasteMatch is not responsible for verifying the accuracy of User Content submitted by others and disclaims liability for any User Content to the fullest extent permitted by law.
6.5 Prohibited Submissions. Users may not submit false, fraudulent, or fabricated Facility Data, fake reviews, or submissions intended to manipulate DumpMap's search rankings or mislead other Users. Violation of this Section is grounds for immediate account termination.
Section 7 — Facility and Third-Party Provider Data; No Warranty of Accuracy
7.1 Sources of Facility Data. Facility Data displayed on DumpMap is compiled from a combination of automated data collection, publicly available government and municipal records, third-party sources, and User Content submitted by other Users. Facility Data may be incomplete, outdated, or inaccurate, and is subject to change by the Facility or Third-Party Provider at any time without notice to WasteMatch.
7.2 Last-Verified Indicator. Where displayed, a "last verified" date reflects only the last time WasteMatch's systems or a User checked that specific data point. It is not a guarantee of current accuracy.
7.3 User Obligation to Independently Confirm. YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY CONFIRMING PRICING, HOURS, ACCEPTED MATERIALS, AND ANY OTHER TIME-SENSITIVE OR SAFETY-RELEVANT INFORMATION DIRECTLY WITH THE FACILITY OR THIRD-PARTY PROVIDER BEFORE RELYING ON IT, INCLUDING BEFORE TRAVELING TO A FACILITY OR COMMITTING TO DISPOSE OF ANY MATERIAL.
7.4 No Liability for Reliance. WASTEMATCH IS NOT RESPONSIBLE FOR, AND DISCLAIMS ALL LIABILITY ARISING FROM, ANY WASTED TRIP, REJECTED LOAD, ADDITIONAL FEE, MISSED PICKUP, SCHEDULING CONFLICT, OR OTHER CONSEQUENCE RESULTING FROM A USER'S RELIANCE ON OUTDATED, INCOMPLETE, OR INACCURATE FACILITY DATA.
Section 8 — User Responsibilities; Compliance with Waste Disposal Laws
8.1 Accurate Search Information. Users are solely responsible for providing accurate information regarding the materials they intend to dispose of when using DumpMap's search and filtering features.
8.2 Legal Compliance. Users are solely responsible for ensuring that their intended disposal method, destination, and manner of transport comply with all applicable federal, state, and local law, including without limitation the Georgia Comprehensive Solid Waste Management Act, O.C.G.A. § 12-8-20 et seq., the Georgia Hazardous Waste Management Act, O.C.G.A. § 12-8-60 et seq., any rules promulgated thereunder by the Georgia Environmental Protection Division, the federal Resource Conservation and Recovery Act, 42 U.S.C. §§ 6901 et seq., and any corresponding law of the jurisdiction in which the User is disposing of materials.
8.3 Safe Handling. Users are solely responsible for the safe handling, loading, transport, and disposal of any materials, including hazardous materials, and for any injury, property damage, fine, penalty, or other liability arising from improper handling or disposal.
8.4 No Legal or Compliance Advice. WasteMatch does not provide legal, environmental, or safety-compliance advice, and nothing on DumpMap should be interpreted as such.
8.5 User Conduct. Users must treat Facility staff, Third-Party Providers, and other Users with respect and lawful conduct at all times. Abusive, threatening, discriminatory, or unlawful conduct is grounds for immediate account termination and may result in legal action.
Section 9 — Limitation of Liability and Disclaimer of Warranties
9.1 Disclaimer of Warranties. DUMPMAP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WASTEMATCH DOES NOT WARRANT THAT DUMPMAP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
9.2 Georgia Enforceability. PURSUANT TO GEORGIA LAW, EXCULPATORY AND LIMITATION OF LIABILITY CLAUSES ARE ENFORCEABLE WHEN EXPLICIT, PROMINENT, CLEAR, AND UNAMBIGUOUS. SEE IMAGING SYSTEMS INTERNATIONAL, INC. V. MAGNETIC RESONANCE PLUS, INC., 490 S.E.2D 124 (GA. CT. APP. 1997). THE PROVISIONS OF THIS SECTION ARE SET FORTH IN CAPITALIZED TEXT IN A SEPARATE AND PROMINENT SECTION IN COMPLIANCE WITH GEORGIA ENFORCEABILITY STANDARDS.
9.3 O.C.G.A. § 13-8-2(b) Notice. GEORGIA CODE ANNOTATED SECTION 13-8-2(B) VOIDS CERTAIN INDEMNIFICATION CLAUSES IN CONSTRUCTION CONTRACTS. WASTEMATCH IS NOT A CONSTRUCTION COMPANY AND THESE TERMS DO NOT GOVERN A CONSTRUCTION CONTRACT. HOWEVER, NOTHING IN THESE TERMS SHALL REQUIRE ANY PARTY TO INDEMNIFY WASTEMATCH FOR DAMAGES ARISING SOLELY FROM WASTEMATCH'S OWN GROSS NEGLIGENCE OR WILLFUL MISCONDUCT TO THE EXTENT SUCH INDEMNIFICATION WOULD BE VOID UNDER APPLICABLE GEORGIA LAW.
9.4 Delaware Director Liability. NOTHING IN THESE TERMS SHALL BE CONSTRUED TO EXPAND THE LIABILITY OF WASTEMATCH'S OFFICERS OR DIRECTORS BEYOND THE PROTECTIONS AFFORDED UNDER TITLE 8, SECTION 102(B)(7) OF THE DELAWARE CODE.
9.5 Comprehensive Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WASTEMATCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH DUMPMAP, INCLUDING BUT NOT LIMITED TO:
- RELIANCE ON INACCURATE, OUTDATED, OR INCOMPLETE FACILITY DATA
- PERSONAL INJURY, BODILY HARM, OR DEATH ARISING FROM A USER'S OWN HANDLING, TRANSPORT, OR DISPOSAL OF MATERIALS
- PERSONAL INJURY, PROPERTY DAMAGE, ENVIRONMENTAL CONTAMINATION, OR REGULATORY VIOLATION ARISING FROM DISPOSAL AT OR TRANSPORT TO OR FROM ANY FACILITY
- ANY ACT, OMISSION, NEGLIGENCE, RECKLESSNESS, OR WILLFUL MISCONDUCT OF ANY FACILITY, THIRD-PARTY PROVIDER, OR USER
- THEFT, FRAUD, MISREPRESENTATION, OR CRIMINAL CONDUCT BY ANY FACILITY, THIRD-PARTY PROVIDER, OR USER
- ANY DISPUTE BETWEEN A USER AND A FACILITY OR THIRD-PARTY PROVIDER, INCLUDING REFUSAL OF SERVICE, REJECTED LOADS, OR OVERCHARGE
- ENVIRONMENTAL FINES, PENALTIES, CITATIONS, OR VIOLATIONS RESULTING FROM A USER'S DISPOSAL OF PROHIBITED, UNPERMITTED, OR HAZARDOUS MATERIALS
- LOSS OF USE, LOST PROFITS, OR BUSINESS INTERRUPTION ARISING FROM RELIANCE ON DUMPMAP
- SLIP AND FALL ACCIDENTS, TRIP HAZARDS, OR PREMISES LIABILITY CLAIMS OCCURRING AT ANY FACILITY
- EMOTIONAL DISTRESS OR MENTAL ANGUISH OF ANY KIND
- DAMAGE TO VEHICLES OR PERSONAL PROPERTY INCURRED WHILE TRAVELING TO, FROM, OR AT ANY FACILITY
9.6 THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, GROSS NEGLIGENCE, PREMISES LIABILITY, OR OTHERWISE, EVEN IF WASTEMATCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.7 Aggregate Liability Cap. IN NO EVENT SHALL WASTEMATCH'S TOTAL LIABILITY TO ANY SINGLE PARTY FOR ALL CLAIMS EXCEED THE LESSER OF: (A) THE TOTAL FEES, IF ANY, PAID BY THE CLAIMING PARTY TO WASTEMATCH FOR USE OF DUMPMAP IN THE THREE CALENDAR MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00). BECAUSE DUMPMAP IS OFFERED FREE OF CHARGE TO USERS, THE AMOUNT DESCRIBED IN (A) WILL TYPICALLY BE ZERO.
9.8 Contractual Statute of Limitations. NOTWITHSTANDING ANY APPLICABLE STATUTE OF LIMITATIONS, INCLUDING O.C.G.A. § 9-3-33 (TWO-YEAR PERSONAL INJURY LIMITATION) AND O.C.G.A. §§ 9-3-31 AND 9-3-32 (PROPERTY DAMAGE LIMITATIONS), ANY CLAIM ARISING UNDER THESE TERMS MUST BE COMMENCED WITHIN ONE YEAR OF THE DATE THE CLAIM AROSE. ANY CLAIM NOT COMMENCED WITHIN THIS PERIOD IS PERMANENTLY BARRED.
Section 10 — Indemnification
10.1 Indemnification by Users. To the fullest extent permitted by applicable Georgia and Delaware law, each User agrees to defend, indemnify, and hold harmless WasteMatch, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, costs, liabilities, judgments, settlements, and reasonable attorneys' fees arising out of or related to: any use or misuse of DumpMap by the User; any User Content; any act, omission, negligence, or misconduct of the User, including in the handling, transport, or disposal of any materials; any breach of this Agreement by the User; any violation of applicable waste-disposal, environmental, or other law by the User; and any dispute or claim by any Facility or Third-Party Provider arising from the User's conduct.
10.2 Indemnification by Sponsors. To the fullest extent permitted by applicable Georgia and Delaware law, each Sponsor agrees to defend, indemnify, and hold harmless WasteMatch, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, costs, liabilities, judgments, settlements, and reasonable attorneys' fees arising out of or related to: the Sponsor's services, representations, licensing, insurance, or conduct toward any User; the content of the Sponsor's Sponsored Placement or advertising materials; and any breach of this Agreement by the Sponsor.
10.3 Defense Rights. WasteMatch reserves the right to assume exclusive control of the defense and settlement of any matter subject to indemnification, at the indemnifying party's expense.
Section 11 — Release of Liability
11.1 BY USING DUMPMAP, USERS HEREBY FULLY AND FOREVER RELEASE, DISCHARGE, AND COVENANT NOT TO SUE WASTEMATCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, ACTIONS, OR CAUSES OF ACTION OF ANY KIND, ARISING UNDER GEORGIA, DELAWARE, OR ANY OTHER APPLICABLE LAW, INCLUDING BUT NOT LIMITED TO CLAIMS ARISING FROM:
- ANY INJURY, ILLNESS, DEATH, OR HARM TO ANY PERSON OCCURRING AT, EN ROUTE TO, OR EN ROUTE FROM ANY FACILITY
- ANY DAMAGE TO REAL OR PERSONAL PROPERTY OF ANY KIND ARISING FROM A USER'S RELIANCE ON DUMPMAP OR A VISIT TO ANY FACILITY
- ANY THEFT, FRAUD, OR CRIMINAL CONDUCT BY ANY FACILITY, THIRD-PARTY PROVIDER, OR USER
- ANY DISPUTE BETWEEN A USER AND ANY FACILITY OR THIRD-PARTY PROVIDER
- ANY FAILURE OF DUMPMAP TO PERFORM AS EXPECTED
- ANY HARM ARISING FROM WASTEMATCH'S DISPLAY, RANKING, OR SPONSORED PLACEMENT OF ANY FACILITY OR THIRD-PARTY PROVIDER
11.2 THIS RELEASE IS ENTERED INTO KNOWINGLY AND VOLUNTARILY AND CONSTITUTES A COMPLETE DEFENSE TO ANY CLAIM RELEASED HEREIN.
Section 12 — Dispute Resolution, Mandatory Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
12.1 Mandatory Binding Arbitration. EXCEPT AS PROVIDED IN SECTION 12.6, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR DUMPMAP SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS COMMERCIAL ARBITRATION RULES. THE PLACE OF ARBITRATION SHALL BE FULTON COUNTY, GEORGIA. THE ARBITRATOR'S DECISION SHALL BE FINAL AND BINDING AND NON-APPEALABLE EXCEPT AS PERMITTED UNDER THE FEDERAL ARBITRATION ACT.
12.2 Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITIES. NO CLASS ACTIONS, COLLECTIVE ACTIONS, OR REPRESENTATIVE PROCEEDINGS ARE PERMITTED. IF THIS WAIVER IS FOUND UNENFORCEABLE, THE ENTIRE ARBITRATION PROVISION IS NULL AND VOID.
12.3 Governing Law — Dual Jurisdiction.
- Corporate governance: Governed exclusively by the Delaware General Corporation Law.
- Data practices, User Content, consumer claims, and all other operational matters: Governed by the laws of the State of Georgia, including the Official Code of Georgia Annotated, without regard to conflict of law principles.
- Conflicts: In the event of conflict between Delaware and Georgia law on any matter not related to internal corporate affairs, Georgia law governs.
- Venue: All non-arbitrable disputes shall be brought exclusively in the state or federal courts of Fulton County, Georgia.
12.4 Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, ALL PARTIES IRREVOCABLY WAIVE THE RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING UNDER THESE TERMS.
12.5 Arbitration Costs. The initiating party bears initial filing fees. WasteMatch may seek recovery of costs and fees for frivolous or bad-faith claims.
12.6 Exception for Injunctive Relief. Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction in Fulton County, Georgia, to prevent irreparable harm pending arbitration, including to prevent unauthorized scraping or reproduction of DumpMap's compiled facility database.
Section 13 — No Agency, Employment, or Partnership with Facilities or Third-Party Providers
13.1 Independent Status. Facilities and Third-Party Providers referenced on DumpMap operate independently of WasteMatch and are solely responsible for their own compliance with applicable licensing, permitting, insurance, and legal requirements.
13.2 Sponsors Are Not Partners. Purchase of a Sponsored Placement does not create any partnership, joint venture, or agency relationship between WasteMatch and the Sponsor, and does not obligate WasteMatch to vet, certify, or guarantee the Sponsor's services in any respect.
Section 14 — Multi-Market Operations
14.1 WasteMatch is incorporated in Delaware and currently operates DumpMap primarily in the Metro Atlanta, Georgia market. WasteMatch may expand DumpMap to additional markets and states over time. By using DumpMap, you acknowledge that WasteMatch may reference Facilities and Third-Party Providers in multiple states and that applicable law may vary by jurisdiction. WasteMatch will use commercially reasonable efforts to comply with applicable laws in each market where it operates.
14.2 Users, Facilities, and Third-Party Providers in markets outside Georgia are responsible for ensuring their use of, or listing on, DumpMap complies with applicable local, state, and federal laws in their respective jurisdictions.
Section 15 — Intellectual Property
15.1 All content, trademarks, trade names, logos, software, search and ranking systems, the compiled and structured facility database (as distinct from the underlying public facts, which are not owned by WasteMatch), and other intellectual property associated with DumpMap are the exclusive property of WasteMatch Technologies, Inc., a Delaware corporation, or its licensors, protected under federal and applicable state law. "DumpMap" and any associated logos are trademarks of WasteMatch.
15.2 By submitting any content to DumpMap, including User Content, photographs, reviews, or communications, Users grant WasteMatch the license described in Section 6.2, which includes use for Platform operations, marketing, investor materials, and promotional activities.
Section 16 — Privacy
16.1 WasteMatch collects and processes personal information in connection with DumpMap, including location data and usage analytics, in accordance with its Privacy Policy, incorporated herein by reference and available at wastematch.com/privacy and dumpmap.co/privacy. By using DumpMap, you consent to the collection, storage, processing, use, and disclosure of your information as described in the Privacy Policy.
16.2 Persistent Anonymous Device Identifier. To measure aggregate usage of DumpMap (including daily and monthly active users, session frequency, feature engagement, and geographic usage patterns), DumpMap assigns each browser or device a persistent, randomly generated anonymous identifier. This identifier is stored in your browser's local storage and in a first-party cookie, contains no personal information, and is not derived from your IP address, which WasteMatch does not use as an identity signal. If you create an account or take an authenticated action (such as bookmarking a Facility or submitting a review), this identifier may be associated with your account so that your usage history is measured as a single continuous user rather than as separate users. You may reset this identifier at any time by clearing your browser's local storage and cookies for DumpMap.
16.3 Aggregate usage metrics derived from the identifier described in Section 16.2 may be used internally and shared with advisors, prospective partners, and advertising partners in aggregated, de-identified form only.
Section 17 — Termination and Suspension
17.1 WasteMatch reserves the right to suspend, restrict, or permanently terminate any account at any time, without prior notice, for any lawful reason, including violation of these Terms, fraudulent activity, abusive conduct, or any conduct WasteMatch determines to be harmful to DumpMap or its Users.
17.2 Termination does not relieve any party of obligations accrued before termination, including indemnification and arbitration obligations, which survive termination indefinitely.
Section 18 — Modification of Terms
18.1 WasteMatch reserves the right to modify these Terms at any time. Modified Terms will be posted on DumpMap with an updated effective date. For material changes, WasteMatch will use commercially reasonable efforts to notify registered Users. Continued use of DumpMap following the posting of modified Terms constitutes acceptance of those modifications.
Section 19 — Severability and Waiver
19.1 If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force. Invalid provisions will be modified to the minimum extent necessary to make them enforceable.
19.2 No failure by WasteMatch to enforce any provision constitutes a waiver of that provision or any subsequent breach.
